Baker & McKenzie Global Services, LLC (“Baker & McKenzie”) provides this Meeting Registration Site (“MRS”) for your personal use in accordance with these Terms of Use. Please refer to Baker & McKenzie’s privacy policy [Privacy Policy] for details about how Baker & McKenzie uses your personal information in connection with the MRS. 

BY ACCESSING AND USING THE MRS, YOU HEREBY AGREE THAT YOU HAVE READ AND UNDERSTAND THESE TERMS OF USE (“TERMS OF USE”) AND THAT YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS OF USE. IF YOU DO NOT AGREE TO THESE TERMS OF USE, YOU DO NOT HAVE AUTHORIZATION TO ACCESS AND USE THE MRS. LINKED THIRD PARTY SITES MAY HAVE OTHER POLICIES THAT APPLY TO YOUR USE OF SUCH SITES, AND YOU ARE RESPONSIBLE FOR KNOWING AND ADHERING TO THE POLICIES OF ALL LINKED THIRD PARTY SITES THAT YOU ACCESS OR USE.

Password Protection

In order to access the MRS, you will be provided with a login ID and password. It is your responsibility to protect your password. You must notify Baker & McKenzie of any known or suspected unauthorized use of your login ID or password, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password information. You agree that you are fully responsible for the use and disclosure of your login ID or password. 

Your Use of the MRS

Baker & McKenzie authorizes you to use the MRS solely for your personal informational and noncommercial use. You agree that you shall (i) not take any action to access information which you believe, or have reason to believe, you are not authorized to access, (ii) not take any steps to defeat any security measures, and (iii) not take any action that may cause harm to the MRS, Baker & McKenzie, or a Baker & McKenzie affiliate.

Linked Websites

For your benefit and convenience, certain hyperlinks may be provided on the MRS which link to the websites of third parties that are not under the control of Baker & McKenzie.  Baker & McKenzie is not responsible for, and disclaims all liability and makes no representations or warranties for, any products or services offered by such third parties, including through such websites. Baker & McKenzie is not responsible for the availability, accuracy, content or any other aspect of such websites.  Baker & McKenzie is not responsible for the privacy statements or practices of websites or services controlled by other companies or organizations. Your use of other websites, and the offer or purchase of products or services from such third parties, or on or through such other websites, is subject to the terms and conditions and privacy policies thereof.  You agree that you will bring no suit or claim against Baker & McKenzie arising from or based on your use of, or the offer or purchase of products or services on or through, such other websites. 

Copyrights, Trademarks, and Permissions

You acknowledge that Baker & McKenzie or third parties granting rights to Baker & McKenzie hold title to all materials on the MRS, which are the copyrighted works of Baker & McKenzie or the third parties, with all rights reserved. Such materials include but are not limited to design, text, graphics, files, photographs, video and audio clips, and the selection and arrangement thereof. You agree that you will not modify, distribute, perform, or publish in any media on the MRS for any public or commercial use without the prior written permission of Baker & McKenzie.

Baker & McKenzie’s name and the products and services described on the MRS are either trademarks, trade names, or service marks of Baker & McKenzie or its licensors, or are the property of their respective owners. These marks may not be copied, imitated, or used, in whole or in part, without the express prior written permission of Baker & McKenzie or their respective owners, and then only with the proper acknowledgments.

Confidentiality of Baker & McKenzie Information

You agree that all Baker & McKenzie policies, procedures and other Baker & McKenzie information posted on the MRS are “Confidential Information.” Confidential Information excludes information in the public domain, generally known in either party’s industry, or independently developed or lawfully acquired without breach of any legal or contractual obligation. You agree to take reasonable measures to keep Confidential Information in confidence. Except as authorized by Baker & McKenzie or as required by law, you agree that you will not disclose any Confidential Information to any person other than authorized users of the MRS. Your obligations to protect Confidential Information shall survive expiration or termination of this Agreement.

THE MRS IS PROVIDED “AS IS” “WITH ALL FAULTS” AND “AS AVAILABLE” AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, BAKER & MCKENZIE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, TITLE, AND NON-INFRINGEMENT. Limitation of Liability

 UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL BAKER & MCKENZIE BE LIABLE FOR ANY INDIRECT, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE MRS, MRS CONTENT, OR LINKED THIRD PARTY SITES, EVEN IF BAKER & MCKENZIE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WHILE BAKER & MCKENZIE TAKES PRECAUTIONS AGAINST SECURITY BREACHES, NO WEB SITE OR INTERNET TRANSMISSION IS COMPLETELY SECURE, AND AS SUCH, BAKER & MCKENZIE SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES THAT MAY RESULT FROM UNAUTHORIZED ACCESS, HACKING, DATA LOSS, OR OTHER BREACHES THAT MAY OCCUR. Modifications to the MRS

Baker & McKenzie may, in its sole discretion, change, suspend or discontinue any aspect of the MRS at any time, including the availability of any feature, database, or content without notice or liability. Baker & McKenzie may also, in its sole discretion, impose limits on certain features and services without notice or liability.

Termination of Usage

You understand and agree that Baker & McKenzie may, in its sole discretion and at any time, restrict, suspend, or terminate your access to the MRS. You understand and agree that Baker & McKenzie may take any one or more of these actions without any notice to you, prior or otherwise. You understand and agree that Baker & McKenzie shall not have any liability to you or any other person for any restriction, suspension, or termination of your access to the MRS.

Jurisdictional Issues/Governing Law

The MRS is operated by Baker & McKenzie from its offices in the State of Illinois in the United States of America. Use of the MRS constitutes your consent and submission to service of process under applicable Illinois laws and to personal jurisdiction in a court of competent jurisdiction in Illinois for the purposes of any legal action or claim pertaining to these Terms of Use, or arising from the use of the MRS. These Terms of Use shall be construed and enforced in accordance with the laws of the State of Illinois without regard to its choice of law principles.

Miscellaneous

These Terms of Use constitute the entire agreement between you and Baker & McKenzie regarding the MRS and supersede and replace any prior understanding, whether oral or in writing. Baker & McKenzie’s failure to enforce any provision of these Terms of Use shall not be construed as a waiver of Baker & McKenzie’s right to enforce any of these Terms of Use in the future. You agree that no joint venture, partnership, employment or agency relationship exists based on your use of the MRS. If any portion of these Terms of Use are held invalid or unenforceable, such portion shall be construed in a manner consistent with applicable law to reflect the original intent of the parties, and the remaining portion of these Terms of Use shall remain in full force and effect.

Changes in the Terms of Use

Baker & McKenzie reserves the right to update or modify the Terms of Use at any time and without prior notice by posting the revised version of the Terns of Use on the MRS. If Baker & McKenzie makes material modifications to the Terms of Use, Baker & McKenzie will post the revised Terms of Use on the MRS with a link on the home page for 30 days prior to the implementation of the changes in the revised Terms of Use. Your continued use of the MRS will constitute your consent to any such changes in the Terms of Use except where otherwise required by applicable law.
